1. Acceptance of Terms

Welcome to VYN. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you (either an individual or an entity) and VYN ("Company," "we," "us," or "our"). Your use of the VYN platform (the "Service") is subject to these Terms and our Privacy Policy, which is incorporated by reference.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Description of Service

VYN is a multi-tenant SaaS platform designed for service-based businesses to manage appointments, clients, staff, services, and business operations across multiple locations. Our platform provides:

• Appointment scheduling and management
• Client relationship management (CRM)
• Staff management and scheduling
• Service catalog and pricing management
• Multi-location support for franchises and chains
• Role-based access control (RBAC) for team collaboration
• Reporting and analytics tools
• Payment processing integration

The Service is provided on a subscription basis with different pricing tiers and feature sets. Features available to you depend on your selected subscription plan and may change over time as we improve and expand the platform.

3. User Accounts and Registration

3.1 Account Creation

To use VYN, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use VYN. By creating an account, you represent and warrant that you meet these requirements.

3.3 Organization Accounts

When you create an account, an organization is automatically provisioned for your business. You are the owner of this organization and are responsible for all activities within it, including managing team members, locations, and subscriptions.

4. Subscription Plans and Payment

4.1 Subscription Tiers

VYN offers multiple subscription tiers with varying features, limits, and pricing. Your subscription determines access to features and usage limits including:

• Maximum number of locations
• Maximum number of staff members
• Maximum number of appointments per month
• Access to premium features (inventory, POS, advanced reporting)

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. By subscribing, you authorize us to charge your payment method for the subscription fee and any applicable taxes.

All payments are processed securely through Stripe, our third-party payment processor. We do not store your complete credit card information on our servers.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal amount.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months or unused time, except as required by law.

4.5 Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price increases. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

5. User Responsibilities

You agree to use VYN in compliance with all applicable laws and regulations. You are solely responsible for:

• All content you upload, store, or transmit through the Service
• Maintaining the confidentiality of your client data
• Compliance with data protection laws (GDPR, CCPA, etc.) in your jurisdiction
• Obtaining necessary consents from your clients for data collection and processing
• Accuracy of appointment schedules, pricing, and business information
• Ensuring your staff members use the platform appropriately

5.1 Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, unsolicited marketing, or phishing attempts
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or fraudulent purpose
• Resell or redistribute the Service without written permission

6. Intellectual Property Rights

6.1 Our Intellectual Property

The VYN platform, including all software, designs, text, graphics, logos, icons, images, and documentation, is owned by VYN and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.

6.2 Your Content

You retain all ownership rights to the content you upload to VYN, including client data, appointment records, and business information ("Your Content"). By using the Service, you grant us a limited license to:

• Store, process, and display Your Content as necessary to provide the Service
• Create backups of Your Content for disaster recovery purposes
• Use aggregated, anonymized data for analytics and service improvements

We will never sell your data to third parties or use it for purposes beyond providing the Service.

7. Data Privacy and Security

We take data privacy and security seriously. VYN is built on Supabase, a secure PostgreSQL database platform with enterprise-grade security features including:

• Row-Level Security (RLS) for tenant isolation
• Encryption at rest and in transit (TLS/SSL)
• Regular security audits and updates
• SOC 2 Type II compliance
• Automated backups and disaster recovery

Our data practices are detailed in our Privacy Policy, which covers:

• What information we collect and why
• How we use and protect your data
• Your rights under GDPR and CCPA
• Third-party service providers (Stripe, analytics)
• Cookie usage and tracking

While we implement industry-standard security measures, no system is completely secure. You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account.

8. Service Availability and Modifications

8.1 Service Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may add, remove, or change features as we continue to improve the platform. Material changes to core functionality will be communicated in advance when possible.

8.3 Beta Features

We may offer beta or preview features for testing purposes. These features are provided "as is" without warranties and may be discontinued at any time. Your use of beta features is voluntary and at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account or data
• Errors, omissions, or inaccuracies in the Service
• Actions of third-party service providers

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting support. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will retain access to your data until the subscription expires
• After expiration, your data will be retained for 30 days, then permanently deleted

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Pose a security risk to the Service or other users

Upon termination, your right to use the Service immediately ceases, and we may delete your account and data.

10.3 Data Export

You may export your data at any time while your account is active. We recommend exporting your data before canceling your subscription to avoid data loss.

11. Dispute Resolution

11.1 Informal Resolution

If you have a dispute with VYN, please contact us first at support@vyn.com. We will work in good faith to resolve the issue informally within 30 days.

11.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You agree to waive your right to a jury trial or to participate in a class action lawsuit.
